These Terms of Service are binding on every client, user, organization, business, school, institution, agency, partner, contractor, representative, or third party that accesses, purchases, subscribes to, receives, uses, continues to use, benefits from, or interacts with any service provided, hosted, configured, developed, secured, licensed, maintained, restored, or supported by Lerion Jake Nwauda Digital Innovations.
1. Introduction
Welcome to Lerion Jake Nwauda Digital Innovations, referred to in these Terms as “Company,” “we,” “our,” or “us.” These Terms of Service govern your access to and use of our websites, software, hosting services, web development services, software development services, database administration services, maintenance services, analytics solutions, security services, support services, digital infrastructure, portals, ERP systems, email systems, applications, and all related technical services.
By accessing, purchasing, subscribing to, requesting, renewing, continuing, using, or benefiting from any of our services, you agree to be bound by these Terms. These Terms apply whether or not you have signed a separate written contract, provided that a service has been requested, activated, configured, deployed, restored, delivered, hosted, maintained, supported, or otherwise provided to you.
If you disagree with any part of these Terms, you must immediately discontinue use of our services and request formal disengagement through the approved official channel. Disagreement with these Terms does not cancel any outstanding balance, payment obligation, license restriction, intellectual property obligation, security obligation, or prior service liability already connected to your account.
These Terms must be read together with our companion documents, service notices, invoices, contracts, official emails, dashboard notices, system alerts, published policy pages, service-specific terms, and any written instruction issued by Lerion Jake Nwauda Digital Innovations.

1.1 Who We Are
Lerion Jake Nwauda Digital Innovations is a technology solutions provider specializing in software development, web development, database administration, web maintenance, hosting services, analytics solutions, security support, digital infrastructure management, and related technology services.
Our services may include, but are not limited to:
- Software development, including ERP, HMS, LMS, portals, dashboards, automation systems, and custom platforms.
- Web development, including business websites, CMS websites, e-commerce systems, institutional websites, portals, and landing pages.
- Database administration, including configuration, optimization, security hardening, and maintenance.
- Web maintenance, including updates, patches, malware review, security hardening, content support, and technical troubleshooting.
- Hosting services, including shared hosting, managed hosting, VPS hosting, cloud hosting, domain hosting, email hosting, and server management.
- Analytics solutions, including traffic metrics, reporting, performance insights, customer data interpretation, and service improvement analysis.
- Advocacy, awareness, user protection, and support initiatives where applicable.
2. Eligibility and User Responsibilities
2.1 Age Requirement
You must be at least 18 years old or have verified parental or guardian consent to use our services. Where a client acts on behalf of a company, school, NGO, institution, agency, or organization, the person engaging us confirms that they have authority to bind that organization to these Terms.
2.2 Account Responsibilities
You are responsible for providing accurate, complete, and current information. You are also responsible for maintaining the confidentiality of your login details, hosting credentials, admin credentials, billing access, email access, dashboard access, cPanel access, domain access, and any other access details connected to your services.
You must notify us immediately if you suspect unauthorized access, password exposure, account compromise, malware infection, suspicious activity, unauthorized file changes, unauthorized developer access, phishing, impersonation, or any security incident.
We are not liable for losses, data exposure, downtime, compromise, deletion, damage, unauthorized modification, or service failure arising from your failure to secure your account, device, email, staff access, third-party access, or credentials.
2.3 Prohibited Activities
The following activities are strictly prohibited:
- Fraud, hacking, identity theft, phishing, impersonation, or illegal conduct.
- Uploading malware, viruses, shells, backdoors, suspicious scripts, spam tools, nulled plugins, cracked themes, pirated software, or unsafe files.
- Abuse, harassment, threats, blackmail, intimidation, or disrespect toward staff, management, clients, users, or partners.
- Unauthorized access to systems, files, servers, databases, codebases, dashboards, emails, or accounts.
- Violation of intellectual property rights, licensing terms, service terms, confidentiality obligations, or security controls.
- Attempting to bypass billing, licensing, suspension, maintenance restrictions, access restrictions, or technical enforcement systems.
Breach of this section may result in immediate suspension, termination, access restriction, blacklisting, forensic review, refusal of support, penalty fees, or legal escalation without further notice.
3. Software Development Services
3.1 Scope
Software development services may include consultation, planning, system design, database design, UI design, backend development, frontend development, implementation, testing, deployment, training, configuration, debugging, security setup, integration, and technical support within the agreed scope.
Any feature, correction, extension, redesign, integration, optimization, migration, or support request outside the agreed scope is not automatically included and may require a separate quotation, invoice, timeline, and approval.
3.2 Ownership and Licensing
Unless expressly agreed otherwise in a signed written ownership transfer agreement, all code, scripts, plugins, templates, designs, frameworks, deployment structures, license systems, security layers, workflows, databases, internal tools, proprietary components, and related intellectual property developed, configured, secured, or deployed by Lerion Jake Nwauda Digital Innovations remain the sole property of Lerion Jake Nwauda Digital Innovations.
Clients receive a limited, non-exclusive, non-transferable license to use the deliverables for the approved purpose, within the approved scope, and subject to payment, licensing, hosting, maintenance, and compliance terms.
Payment for a software product, website, ERP, portal, platform, or application does not automatically transfer ownership of source code, internal architecture, proprietary tools, deployment systems, licensing systems, security systems, or reusable technical frameworks.
3.3 Maintenance and Updates
Post-deployment support is available only under an active maintenance agreement, approved on-demand service request, or written technical support arrangement. Without active coverage, updates, patches, enhancements, corrections, compatibility fixes, plugin repairs, layout repairs, malware cleanup, integrations, or technical interventions are billable at prevailing rates.
4. Web Development Services
4.1 Payment
Unless otherwise agreed in writing, web development services require an initial deposit before work begins and a balance payment before handover, publication, release, migration, or final access delivery.
Late payment may halt work immediately. We may suspend progress, delay delivery, withhold files, restrict access, pause communication, refuse handover, or place the project under billing enforcement until the required payment is completed.
4.2 Client Content
Clients are responsible for supplying accurate logos, copy, images, videos, legal text, policies, documents, product information, service information, brand assets, and all other content required for the project.
Clients warrant that any content supplied to us does not infringe third-party rights. We are not liable for copyright claims, trademark claims, data claims, privacy claims, image rights claims, or legal disputes arising from client-supplied content.
4.3 Revisions
Minor revisions may be allowed only within the agreed revision window and within the original scope. Structural changes, functional changes, design direction changes, new pages, new features, integrations, content rewriting, migration, or repeated revision cycles are chargeable separately.
5. Database Administration
Database administration services may include configuration, optimization, backup review, security hardening, access control, performance tuning, troubleshooting, and database-related support.
Clients remain responsible for ensuring that their use of data complies with applicable data protection laws, including NDPR, GDPR, CCPA, and any applicable privacy or sector-specific regulation.
We are not liable for breaches, data loss, corruption, exposure, unauthorized access, or legal claims arising from client negligence, unsafe third-party access, poor credential control, unauthorized modifications, insecure devices, user error, or failure to maintain active support coverage.
6. Web Maintenance
6.1 Scope
Maintenance services may include security patches, update checks, uptime review, performance optimization, troubleshooting, malware review, backup review, compatibility checks, content support, layout correction, and issue resolution according to the active maintenance plan.
Maintenance does not mean unlimited development. It does not include new features, major redesigns, major rebuilds, full migration, custom integrations, business automation, new modules, new pages, full content writing, SEO campaigns, branding work, or extensive engineering unless expressly included in the active plan.
6.2 Subscription and Payment
Maintenance may be billed monthly, annually, on-demand, or according to a custom arrangement. Non-payment triggers automatic suspension or restriction of maintenance coverage.
If your maintenance expires, active technical support stops. We are not required to provide free monitoring, free patches, free malware cleanup, free emergency support, free bug fixes, free compatibility repair, free update testing, free restoration, or goodwill-based intervention.
6.3 No Maintenance Means No Active Support
If a website, portal, ERP, application, software, email system, or platform is not under active maintenance, the client should not expect application-level support. Hosting alone does not include maintenance. Development payment alone does not include lifetime support.
Any intervention requested outside active maintenance coverage may require an on-demand fee, emergency fee, restoration fee, review fee, malware cleanup fee, update fee, compatibility fee, or development fee.
7. Hosting Services
Hosting services may include shared hosting, dedicated hosting, managed hosting, VPS hosting, cloud hosting, domain hosting, email hosting, and server-related services according to the selected package.
7.1 Hosting Is Not Maintenance
Hosting payment only covers hosting availability within the agreed hosting scope. Hosting does not automatically include website updates, plugin updates, theme updates, custom code updates, malware cleanup, ERP support, content changes, development changes, layout repairs, email-client optimization, application-level support, security monitoring, backup review, performance optimization, or integration fixes.
7.2 Suspension and Termination
Hosting accounts may be suspended for overdue payment, abuse, spam, malware, phishing, resource misuse, policy breach, unauthorized access, illegal activity, reputational risk, server risk, or any conduct that threatens our infrastructure, other clients, or service integrity.
We are not responsible for data loss, business loss, email loss, ranking loss, revenue loss, or operational disruption following suspension, termination, deletion, restriction, or enforcement action caused by non-payment, expired service, client negligence, policy breach, or security risk.
8. Payments, Invoicing, Outstanding Balances, and Enforcement
8.1 Currency and Invoices
Fees may be quoted in NGN, USD, EUR, or any other approved currency. Invoices may be issued electronically through email, dashboard, billing portal, automated system, or any official company channel.
8.2 Outstanding Balances
Any outstanding balance connected to a rendered service, active service, completed work, hosting account, maintenance plan, software, portal, ERP, website, configuration, deployment, license, restoration, revamp, upgrade, technical support, or development service remains payable.
A client cannot avoid an outstanding balance by discontinuing service, refusing to use the software, abandoning the website, moving to another provider, requesting migration, asking us to disable the service, or claiming the service is no longer needed after work has been rendered or allocated.
8.3 Strict Enforcement
Effective May 4, 2026, stricter enforcement applies to all client accounts. Where payment is overdue, unresolved, disputed without valid basis, ignored, or repeatedly delayed, we may suspend, restrict, take offline, withhold, deny restoration, pause support, refuse handover, refuse migration assistance, refuse access release, or place the account under enforcement review.
Restoration will only proceed after full billing clearance, compliance review, and any applicable restoration fee, penalty fee, reactivation fee, maintenance fee, or technical review fee has been settled.
8.4 Refunds
Completed projects, rendered services, configured systems, activated services, deployed software, custom development work, maintenance work, technical support, restoration work, security work, and consumed hosting periods are not refundable unless expressly stated in writing.
9. Departmental Authority Under the Strict Policy Structure
Management, Billing and Finance, Development and Technical, Maintenance and Technical Support, Security and Infrastructure, Client Success and Customer Support, and Legal and Compliance each have authority to enforce the sections of these Terms relevant to their function.
- Management may approve final enforcement, account review, blacklisting, suspension direction, and legal escalation.
- Billing and Finance may determine payment validity, billing clearance, outstanding balance status, and service release eligibility.
- Development and Technical may restrict, withhold, or place unpaid technical work under enforcement review.
- Maintenance and Technical Support may refuse application-level support where no active maintenance or on-demand plan exists.
- Security and Infrastructure may isolate, suspend, restrict, or disable risky services to protect the wider network.
- Client Success and Customer Support may route communication, restrict abusive communication, and escalate non-compliant accounts.
- Legal and Compliance may review IP breaches, license abuse, third-party tampering, and legal enforcement matters.
10. Third-Party Technical Providers and External IT Teams
Clients may work with their own IT teams, developers, freelancers, consultants, agencies, contractors, or volunteers. However, where a system was built, configured, deployed, licensed, secured, hosted, maintained, or previously supported by Lerion Jake Nwauda Digital Innovations, third-party access must not interfere with our code, infrastructure, license systems, security layers, deployment systems, or proprietary configuration without written authorization.
Unauthorized third-party access, modification, extraction, duplication, migration, reverse engineering, code tampering, license bypass, security layer removal, or interference may result in immediate suspension, withdrawal of support, refusal of restoration, penalty fees, forensic review, account blacklisting, or legal escalation.
If a client requires migration, release, review, handover, or transfer support, it must be requested formally and may attract review fees, release fees, documentation fees, migration support fees, technical handover fees, license clearance fees, configuration removal fees, and security layer removal fees.
11. Intellectual Property Protection
All custom code, scripts, plugins, templates, themes, configurations, workflows, source files, deployment structures, security layers, internal tools, design systems, license systems, and proprietary frameworks developed, configured, secured, or deployed by Lerion Jake Nwauda Digital Innovations remain the intellectual property of the company unless a separate written ownership transfer agreement expressly states otherwise.
White-labeling does not mean ownership transfer. Payment for a website, portal, ERP, software, or platform does not automatically transfer ownership of internal source code, proprietary components, technical frameworks, deployment systems, license layers, or security systems.
Unauthorized access, resale, copying, extraction, reverse engineering, redistribution, external modification, license bypass, tampering, or unauthorized migration of LJNDI-built systems is prohibited and may lead to legal action.
12. Security, Malware, Vulnerability, and Infrastructure Protection
We reserve the right to protect our infrastructure, hosting network, server reputation, email reputation, connected systems, and other clients from malware, suspicious files, exposed vulnerabilities, outdated systems, unauthorized modifications, spam, phishing, abuse, or high-risk behavior.
Where a website, portal, ERP, application, email system, or hosted environment presents a risk, we may suspend, restrict, isolate, disable, or take the affected service offline without extended notice.
If the affected system is not under active maintenance, we are not required to provide free cleanup, free restoration, free patching, free emergency support, or free vulnerability review.
13. Analytics Solutions
We may collect traffic metrics, conversion data, usage data, service performance data, system activity, and customer insights solely to provide, secure, improve, maintain, analyze, or report on agreed services.
Clients are responsible for disclosing analytics, cookies, tracking, and data collection to their end users where required by law.
14. Advocacy, Awareness, and User Protection Services
Where we provide advocacy, awareness, confidentiality, or user protection-related services, we may apply strict access control, encryption, confidentiality rules, and safety-based moderation.
Hate speech, discrimination, harassment, threats, doxxing, targeted abuse, or unsafe conduct may result in immediate service restriction, revocation, or termination.
15. Client Communication Policy
All communication relating to hosting, billing, support, maintenance, development, complaints, restoration, suspension, renewal, technical work, service release, or account review must go through the appropriate official company channel.
Clients must not contact founders, co-founders, management, developers, engineers, technical staff, customer support staff, or any team member through private numbers, personal WhatsApp accounts, private SMS, personal email addresses, social media direct messages, or informal channels for service issues unless expressly authorized.
Personal access to any staff member does not override billing requirements, maintenance requirements, SLA structure, support routing, intellectual property rules, or enforcement policy.
Abusive language, threats, harassment, repeated spam messages, disrespectful communication, pressure on staff, or attempts to bypass official channels may result in account review, response restriction, blacklisting, suspension, or further administrative action.
16. Suspension, Restriction, Termination, and Blacklisting
We may suspend, restrict, terminate, disable, take offline, refuse service, refuse support, withhold access, withhold files, refuse restoration, or blacklist a client account where there is non-payment, policy breach, abusive conduct, unauthorized tampering, malware risk, illegal activity, intellectual property violation, license abuse, repeated non-compliance, or infrastructure risk.
Suspension or restriction does not cancel outstanding balances. A suspended client remains responsible for all unpaid invoices, rendered services, technical work, restoration fees, enforcement fees, penalty fees, and applicable charges.
17. Disengagement, Migration, Handover, and Release
A client may disengage from Lerion Jake Nwauda Digital Innovations, but disengagement must follow a formal process. No release, migration, handover, transfer support, access release, documentation, domain transfer support, hosting transfer assistance, or technical cooperation will be completed where outstanding balances, compliance issues, or unresolved enforcement matters exist.
Migration or handover assistance is not free unless expressly agreed in writing. It may attract applicable technical fees, documentation fees, review fees, release fees, license clearance fees, security removal fees, and support fees.
18. Limitation of Liability
To the fullest extent permitted by law, Lerion Jake Nwauda Digital Innovations disclaims all warranties, express or implied, including warranties of uninterrupted service, error-free service, fitness for a particular purpose, merchantability, data preservation, ranking preservation, revenue preservation, or business continuity.
We shall not be liable for indirect, incidental, consequential, special, punitive, reputational, financial, operational, business, or data-related damages arising from service use, downtime, suspension, termination, non-payment enforcement, security risk, third-party access, client negligence, expired maintenance, expired hosting, unauthorized modification, or policy breach.
Our aggregate liability is capped at the amount paid for the directly affected service during the period giving rise to the claim, excluding third-party costs, lost revenue, lost profit, lost opportunities, indirect damages, and consequential damages.
19. Dispute Resolution
19.1 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
19.2 Process

Where informal resolution fails, unresolved disputes shall proceed to mediation or binding arbitration in Lagos, Nigeria, unless the company elects to pursue urgent injunctive relief, debt recovery, intellectual property protection, cyber-related action, or any other available remedy under applicable law.
20. Changes to Terms
We may revise, update, expand, replace, or enforce these Terms at any time. Updates may be published on our website, sent by email, posted through the client dashboard, included in invoices, issued through notices, or communicated through official channels.
Continued use of our services after publication or communication of updated Terms constitutes acceptance of the updated Terms. Failure to read a published or sent notice does not exempt a client from the policy changes communicated in it.
